1. General

The following details are important information regarding this Website, Machinix copyright to its contents and the terms for use of the website as a visitor or registered member of Machinix. These Terms of use govern your use of the website.

Registration and other information of your use on the Website, are subject to our Privacy Policy.

By using this website, in any manner, you agree to be obligated by these Terms of Use and to use the website by these Terms of Use, our Privacy Policy, and any additional terms and conditions that are referenced herein or will in the future that applies to the website, product and services provided by Machinix.

2. Website Registration

In order to use this website services, you will be required to register for an account (“Account”). By creating an Account, you agree to provide the following information : (1) True, accurate and complete information about you, as asked during the registration process on the website; (2) Update your account information, in any change.

Your account access information, username and password should be kept and not shared with anyone. you agree to : (1) Notify Machinix in any case you suspect your account has been used by someone other than you; (2) Log out from your account at the end of each working session.

In case you provide any information which is untrue, inaccurate or incomplete, Machinix reserves the right to deny access or terminate your account.

3. Request a Quote

Once you have registered an account, in order to quote items production services, you will be asked to provide the following information through the website’s request-for-quote section (“Request for Quote”), which must include 3D files and 2D drawing (“Spec”), Item number and quantity (or quantities) for quote.

Machinix reserved the right to reject a request for quote (“No bid”) for any reason or cause.

4. Quote and Issue order

If Machinix accept your request for quote, we will issue a quote by sending you a link through one of your provided contact details and/or leave you a message and/or notification on website. The link will address you to the quote section.

Machinix reserve the right to change spec, in case we determine that the specifications are impossible to meet, not manufacturable, not meeting industry’s economic standards or other reasons. in case of changing specifications we will notice in quote.

Once you have entered the Quote section, in order to quote items production services, you will be asked to choose different parameters regarding (1) production location; (2) production speed; (3) item production quantity; (4) Quality control level; (5) Shipping method. Those parameters affect the price for each part. After completing choosing parmenters, your quote is done. You will be able to download your quotation (which will be valid for 30 days) and issue a purchase order.

Issue Purchase order can be made in two different methods: 1. By checking out using Credit Card via the website; 2. Upload to website a purchase order from your organization ERP or any other purchasing method your organization is working by. If choosing Option 2, after uploading the purchase order, Machinix will review your order to make sure it is according to quote terms and conditions. Machinix reserve the right to reject a purchase order for any cause.

Please notice that any purchase order is limited by your credit limit balance. Ffor more information about payment terms, please review the Fees, Taxes, and payment terms.

5. Order confirmation

Once a purchase order is confirmed, you will be notified by sending you a link through one of your provided contact details and/or leave you a message and/or notification on the website. The link will address you to the purchase order confirmation section.

Order confirmation will include a part number, spec, quantity and delivery Date for each order line:
Part number – as mentioned in the Quote or on your drawings; Spec – the 3D and 2D drawings you uploaded for request for quotation and confirmed on quote combined with the Technical feedback notes in quote. Those specifications will be the one we will produce, inspect and approve by; Quantity – the item will be produced, by the confirmed purchase order quantity; Delivery date – item will be produced with target to deliver on confirmed delivery date. Please notice that the Delivery date might be different from the Delivery date on quote, since the time passed from quote to order confirmation.

6. Delivery dates changes

During production, the delivery dates might change, due to different reasons. Machinix is obligated for best efforts to deliver as mentioned on order confirmation but can not guarantee there will be no changes on delivery dates. Machinix will update as soon as possible for any changes on delivery dates.

Changes requested by customers on purchase order delivery dates, is optional, by contacting the customer account manager. Machinix will do its best efforts to support any change request, but can not guarantee changes will be possible. As long as the changes requests are not apply on your order lines on the website, it hasn’t been implanted and considered not approved. Changes might cause additional costs.

7. Cancellation of Orders

Cancellation and termination of purchase order issued, upon customer request, is not optional, since Machinix produces it as make to order basis. Machinix reserve the right to cancel purchase order in case (1) item is not manufacturable; (2) Customer is not fulfilling his obligation of payments. If Order will be canceled by Machinix, you will be notified through one of your provided contact details and/or leave you a message and/or notification on the website.

8. Fees Taxes and Payment terms

When you issue a purchase order to Machinix, by any method, you agree to pay Machinix the fees as mentioned in the quote. Payment will be done by credit card or by bank transfers. For using a Bank transfer option, you must have a credit balance higher or equal to purchase order value. If a purchase order value is higher than your credit balance, you can issue a credit request here ARFinance@machinix.io .

All costs, taxes, fees, duties and tariffs for executing orders will be paid by you.
Payment date will be Net 30 days from date of invoice issue. Machinix Charge 1% per month of balance of any late payment, and reserve the right to change your payment terms and credit balance due to late payment.

9. Shipping

Shipping of products will be executed according to the chosen shipping method in your purchase order.

When Choosing “Ship via your courier” option, the product will be ready for pickup from the Machinix facility on choosing the production location. When choosing to use Machinix shipping methods, products will be delivered to your chosen shipping address as fulfilled by you when issued purchase order.

Changes on shipping address in purchase order which have not been shipped yet is optional, by contacting the customer account manager. Machinix will do its best efforts to support any change request, but can not guarantee changes will be possible. As long as the changes requests do not apply on your order lines on the website, it hasn’t been implanted and considered not approved. Changes might cause additional costs.

10. Intellectual property NDA

Machinix Privacy Policy is set forth here and includes Machinix obligations for non-disclosure policy.

In case you would like Machinix to sign a different obligation, you can submit your request to Legal@machinix.io and we will review it within 72 hours. Only signed documents by Machinix will consider an acceptance of different obligations than Machinix Privacy Policy.

11. Warranties and limited liabilities

Once Machinix delivered the goods, it is your responsibility to inspect the goods within 14 days from good delivered date (“Warranty period”). During warranty period, Machinix warranty that the product complies with the specification has been confirmed on purchase order confirmation. if you find that the goods are not matching the specicifaction, you can issue NC (Non-Conformance) report to NC@machinix.io, within warranty period only; In case Machinix found the NC acceptable, Machinix will agree in writing with you on the best action to take of the following options : (1) fix the product; (2) re-produce the product as soon as possible consider economical actions by industry’s standard; (3) credit you up to the product value.

Machinix will not warrant a product, during the warranty period, that has been damaged, modified or treated in improper conditions.

Machinix warranty will be for the compliance of product to spec only, and will not warrant and be liable to product use or any losses or damages caused by usages of the product.

by issue purchase order to Machinix, you understand and agree that the maximum liability Machinix takes is for the compliance of the product to spec and that Machinix is not liable to any applicable law, any theory of liability, contract, tort (Notwithstanding negligence), directly or indirectly, special, consequential or exemplary damages that may be incurred by you in connection with the website, the services and the products, by third party, by Machinix or by Machinix representative, if been aware or should been aware of the possibility of any such losses and damages.

12. Website Restrictions

By using Machinix website and services you hereby agree that you will not violate any applicable law, contract, intellectual property right or other third party right or commit a tort.

By using Machinix website and services you agree that you are solely responsible for your usage.

By using Machinix website you will not access the site in order to build a similar or competitive website application or service.

13. Miscellaneous terms

The terms here (together with any additional terms agreed in writing and signed by both you and Machinix) set forth the entire agreement between you and Machinix, and will cancel any prior, understanding, conversations, in written or in oral for using Machinix website, product delivery and services.

You may not assign or transfer such rights or obligations under their terms, without Machinix prior written consent. notwithstanding, Machinix may assign some or all of its right and obligation to affiliate entities if third parties. These terms will be binding to any transferred if accrued.

14. Force Majeure

Nighter Machinix or you, shall be in default of the terms of use, if such action is due to Force Majeure such as: climate damages, pandemic, government’s decisions and acts, wars, strikes, energy shortages, transportation availability shortages, labor shortages, raw material shortages and subcontractors and manufacture partners delays.

In any Force Majeure, Machinix will have the right to allocate and change production locations and/or manufacturer partners and will have no liability for delay or cancellation.

Force Majeure will not enable default of the terms of use, in all issues related to payment obligations.

15. Governing law and jurisdiction

You agree that all matters relating to these terms of use, the website, the product and the services provided by Machinix, including all disputes, shall be governed and enforces with the laws of the State of Israel. Any dispute raised will be under the jurisdiction of the relevant Tel-Aviv court of law.

16. Change and updates of the terms

In any change in terms of use, you will be notified through one of your provided contact details and/or leave you a message and/or notification on the website.
